1. Our Services
SO Design Online provides web design, WordPress development, website redesign, graphic design, logo & identity, SEO setup, and website maintenance services. Specific deliverables, timelines, and costs will be outlined in a separate project proposal or contract agreed upon with each client.
2. Client Responsibilities
To ensure a smooth project, you agree to:
- Provide accurate, complete, and timely information (text, images, brand assets, etc.) as requested.
- Respond to feedback requests and approvals within reasonable timeframes to avoid project delays.
- Secure all necessary rights and permissions for any content you supply (images, logos, trademarks, etc.).
- Cooperate in good faith during the discovery, design, review, and launch phases.
3. Intellectual Property
3.1. Deliverables
Upon full payment, you receive ownership of the final website design, code, and brand assets we create specifically for you, unless otherwise stated in your proposal. Any third-party software, plugins, or fonts used remain the property of their respective owners and may require separate licensing.
3.2. Our Tools & Methods
We retain the right to use our own development frameworks, libraries, and design systems across multiple projects. You do not acquire any rights to our underlying methodologies, proprietary code snippets, or internal workflows.
4. Payment Terms
- Deposit: A non-refundable deposit (typically 50% of the total project fee) is required before work begins, unless otherwise agreed.
- Balance: The remaining balance is due upon project completion and before the final launch or handover of deliverables.
- Invoices: Payment is due within the timeframe stated on the invoice (usually 14 days). Late payments may incur interest or suspension of services.
5. Revisions & Change Requests
Each project includes a defined number of revision rounds (specified in your proposal). Additional revisions or scope changes beyond the original agreement may be billed at our standard hourly rate. We will always discuss and agree on any extra charges with you beforehand.
6. Project Timeline & Delays
We strive to deliver projects within the estimated timeframe, but timelines are not always guaranteed. Delays caused by client feedback, content availability, or third-party dependencies will reasonably extend the delivery date. We will keep you informed and work with you to get back on track.
7. Refund Policy
Because our services involve custom creative work, we do not offer refunds once work has commenced. The initial deposit is non-refundable, as it reserves our time and resources. If you are unsatisfied with our work, please contact us — we will make every reasonable effort to resolve the issue to your satisfaction.
8. Client Content & Data
Any text, images, or other content you provide remains your property. We will not use your content for any purpose other than delivering your project. We are not responsible for the accuracy, legality, or appropriateness of content you supply.
9. Limitation of Liability
To the fullest extent permitted by law, SO Design Online shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities, arising from the use of our services or website. Our total liability shall not exceed the total amount paid by you for the specific project in question.
10. Warranty & Support
We warrant that our deliverables will substantially conform to the specifications agreed in the project proposal. We provide a 30-day post-launch warranty for bug fixes and minor adjustments (excluding new features or content changes). After this period, ongoing support can be arranged via a maintenance agreement.
11. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the project, unless disclosure is required by law. This includes business strategies, internal processes, and client lists.
12. Termination
Either party may terminate a project by providing written notice. If you terminate before completion, you will be invoiced for all work completed up to that point, and you will receive any finished deliverables. We reserve the right to terminate a project if the client fails to comply with these Terms or behaves in a way that makes continued cooperation unreasonable.
13. Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of the United Kingdom (or your applicable jurisdiction). Any disputes arising from these Terms shall be resolved through friendly negotiation, and if necessary, through the courts of our registered location.
14. Changes to These Terms
We may update these Terms & Conditions from time to time. The latest version will always be posted on this page with an updated “Last updated” date. Continued use of our services after changes constitutes acceptance of the revised Terms.
